Empire-Investing.com Subscription Membership Terms and Conditions Agreement The following are the terms and conditions of Subscription Membership to Empire-Investing.com. For purposes of this agreement, "Member" refers to you and "Site" and "Company" refers to us. "Site" means a World Wide Web site and, depending on the context, refers either to Empire-Investing.com website, located at the URL www.Empire-Investing.com and/or at any associated URL, or to any email or other advertising medium which promotes www.Empire-Investing.com Term of Trial Subscription Membership and Post-Trial Subscription Fee Upon submitting a request for Subscription, a Member ID and Password are assigned to Member and will be used to gain access to www.Empire-Investing.com. No refunds of any kind will be issued after 5 days of any transaction date or a membership opinion has been delivered in that month. Any charge backs or disputes that do not comply with this refund policy will be aggressively fought. You agree by submitting your information for membership to www.Empire-Investing.com that the Company's maximum liability is limited to the total amount paid by you for monthly membership fees, regardless of extenuating circumstances. If you have any concern regarding the products or services, trials included, or other fees charged, you must elect to not order from this website. By ordering from this website you certify that you have been notified of this limitation of liability and agree with it. We offer a 100% Satisfaction Guarantee. If at any time you are unsatisfied with the service provided, it is your responsibility to notify Company to allow Company to rectify any problems or cancel your membership. Consent To Binding Arbitration Before The American Arbitration Association By execution of this Agreement you hereby consent and agree that any and all disputes that arise concerning this Agreement or any of the terms of this Agreement, or that concern any aspect of the relationship between Client and Company, shall be decided exclusively in binding arbitration conducted by the American Arbitration Association ('AAA'). Client and Company further consent and agree that Client may file their complaint with the AAA in their state, but that all AAA arbitration hearings shall be conducted in Detroit, Mi., where Company is headquartered and located, before a single AAA arbitrator. The arbitrator shall be appointed in accordance with the Section R-13, Appointment from Panel, of AAA's Commercial Arbitration rules. Client and Company consent and agree that the AAA arbitrator shall exclusively apply UTAH law to the dispute, regardless of and without giving any consideration to choice of law principles. Client and Company further consent and agree that each party will bear his/her/it's own cost and attorneys' fees incurred in connection with the AAA arbitration proceedings, and agree that the AAA arbitrator shall have no power or discretion to make any award of costs or attorneys' fees. However, in the event that Client or Company files any court proceedings in violation of the contractually agreed upon arbitration requirement, the party who is required to appear in any court proceedings to defend against such proceeding shall be entitled to an immediate stay and dismissal of such court proceedings, and shall be entitled to an award of all reasonable attorneys' fees and costs incurred in connection with such court proceedings. The final decision of the arbitrator shall be furnished in writing and shall constitute a conclusive determination of the issue(s) in question, binding upon the Client and Company, and shall not be contested by either of them except as permitted by applicable law. Such decision may be used in a court of law only for the purpose of seeking enforcement of the arbitrators' award. You may cancel your Membership, without penalty or obligation, within three business days from the actual date of this transaction. If you cancel, any property traded in, any payments made under the contract or sale, and any negotiable instrument, executed by you will be returned within 10 days following receipt by Company of your cancellation notice, and any security interest arising out of the transaction will be cancelled. If you cancel, you must make available to Company at your residence, in substantially as good condition as when received, any goods delivered to you under this contract or sale, or you may if you wish, comply with the instructions of Company regarding the return shipment of the goods at Company's expense and risk. You agree by initiating membership you accept these terms and conditions and certify you have been notified in writing of this right to cancel and waive any and all right to state you have not been notified of such. No failure of Company to enforce any provision, assert any right or insist on performance of any provision under this Agreement in any instance shall be deemed a waiver of the ability to enforce such provision, assert such right, or insist on the performance of such obligations in the future. Failure to enforce your strict performance will not constitute a waiver of our right to subsequently enforce such provision or any other provision of this Agreement. I hereby authorize the Empire-Investing to initiate debit/credit entries to my bank deposit account as indicated upon sign up and enrollment by any party designated by Empire-Investing. This authority is to remain in full force and effect until (a) Empire-investing has received my written notification of its termination in such a manner as to afford us reasonable opportunity to act on it, and (b) all obligations to Empire_investing.com that have arisen have been paid in full. Empire-Investing.com reserves the right to amend this agreement as needed from time to time. Amendments to this agreement will be posted at www.Empire-Investing.com on the terms and conditions link. By initiating membership to Empire-Investing.com it is agreed that any such amendment will apply to Member. To the extent that credit card-specific information is collected at the Website and any of our affiliates and/or subsidiaries, said information will be kept in confidence and will not be shared with any third parties (other than consumer credit agencies) without your prior informed consent. Notwithstanding the foregoing, the Company and our affiliates and/or subsidiaries reserve the right to share with third parties the fact that they have credit card information on file for specific users but they will not share specific credit card information with third parties without the user's prior informed consent.
